Welcome to BrandedQRCode, accessible at brandedqrcode.com or www.brandedqrcode.com. BrandedQRCode refers to the owner(s) and operator(s) of this web app, as well as the web app itself and the Services provided through the website.

“Services” means BrandedQRCode’s web application, related features, and any other services provided through brandedqrcode.com.

These Terms and Conditions ("Terms") govern your access to and use of our Services. By accessing or using our Services, you agree to comply with and be bound by these Terms. If you do not agree with these Terms, please refrain from using our Services.

1. Overview of Services
BrandedQRCode provides the following Services:

  • Static QR Codes: Purchase tokens or subscribe to the Dynamic + Static Enterprise Plan to create static QR codes with customizable designs.
  • Dynamic QR Codes: Subscribe to quarterly plans to create and manage dynamic QR codes.
    • The Dynamic Basic plan includes basic features and a limit on the number of active dynamic QR codes.
    • The Dynamic + Static Enterprise Plan offers advanced functionality, an unlimited number of active dynamic QR codes and an unlimited number of static QR codes.
    • Kindly note that all subscriptions are auto-renewing on a quarterly basis.

2. Account Creation, Management, and Termination

  • Sign-Up: Certain features, including the ability to download branded QR codes and remove modified links, require you to sign up for an account. Our Services are not intended for individuals under the age of 13. By signing up, you affirm that you are at least 13 years old.
  • Newsletter and Promotional Communications: By signing up for an account, you consent to receive newsletters, Services updates and promotional emails from us. You may opt‑out at any time by clicking the “unsubscribe” link in any email or by contacting support@brandedqrcode.com.
  • Account Termination by User: You may terminate your account at any time by contacting support@brandedqrcode.com. Upon termination, any remaining tokens will be forfeited, and no refunds will be issued.
  • Account Termination by BrandedQRCode:
    • If you do not have an active quarterly subscription or do not purchase tokens for more than 1 month, your account can be terminated.
    • BrandedQRCode reserves the right to suspend or terminate your access to the Services at its sole discretion for violations of these Terms, or in the event of suspicious, unlawful activity, unacceptable usage, or misuse, as determined by BrandedQRCode.
    • Upon termination, any remaining tokens in your account will be forfeited, and no refund will be provided.
    • BrandedQRCode reserves the right to grant, suspend, or terminate any user’s access to the Services at any time, for any reason or no reason, at its sole discretion, without prior notice or liability.
  • Business Closure: In the event that BrandedQRCode permanently ceases operations, we will make reasonable efforts to notify users in advance and provide a limited timeframe to export relevant data or redeem remaining tokens. After such period, dynamic QR codes and landing pages may cease to function and will be rendered unusable. BrandedQRCode shall not be liable for any resulting disruption or loss.
  • Change of Ownership: If BrandedQRCode is acquired, merged, or transferred to another party, your account information - including tokens, dynamic QR codes, and landing page designs - may be transferred to the new owner. Continued use of the Services will be subject to the acquiring party's terms and policies.
  • Account Security: You are responsible for maintaining the confidentiality of your account credentials. BrandedQRCode is not liable for unauthorized access to your account.
  • Landing Page Designs Deletion: If a user does not maintain an active subscription with limitations (free trial) or a full paid subscription for more than one (1) month, we reserve the right to delete all landing page designs associated with that account. Such deletion is final, and the user will need to recreate their landing page designs upon resubscribing.

Note: Data retention policies under Section 9 apply following account termination.

3. Purchases and Subscriptions

  • Token Purchases: Tokens are used to create static QR codes. Token purchases are final and non-refundable unless otherwise specified.
  • Subscriptions: Subscriptions are required for creating dynamic QR codes. Subscriptions are billed quarterly. Note that an active subscription is required for dynamic QR codes to function.
  • Free Trial (Limited‑Time Offer): Upon creating an account, you are eligible for a one‑time free trial of our Dynamic QR Code Services lasting seven (7) days. During the trial, you may create up to three (3) dynamic QR codes and one (1) landing page. This free trial is a limited‑time promotional offer and may be modified or discontinued at any time without prior notice. The free trial counts as an "active subscription with limitations" for purposes of landing‑page retention (see Section 2). After the trial ends, if you do not subscribe, your access to dynamic QR code features and landing page will be suspended.
  • Instant Upgrades: Upgrades to a higher plan are processed immediately, and you will be charged on a pro-rata basis for the remainder of your current billing cycle. Note that if you confirm a downgrade and then try to upgrade before the downgrade takes effect, you will be charged almost the full amount of the new upgraded plan.
  • Scheduled Downgrades: If you downgrade your plan, the change will take effect at the end of your current billing cycle. Note that when your downgrade takes effect, if you have more active dynamic QR codes than your new plan's limit, your oldest dynamic QR codes will be automatically disabled until you are within the new plan's limit.
  • Price Changes: BrandedQRCode reserves the right to modify prices for tokens, subscriptions, and other Services. Changes will be communicated on our website and will apply to future purchases or renewals.
  • Discount Code Usage: A user will be eligible to use a discount code only once.

4. Refund Policy

Your purchases, including tokens and subscription fees, are governed by our Refund Policy. By using our Services, you agree to the terms outlined in the Refund Policy.

5. Grant of License and Usage Rights

  • License to Use: When you purchase tokens or subscribe to our Services, BrandedQRCode grants you a limited, non-exclusive, sublicensable license to generate, distribute, and use QR codes created using our Services.
  • Modified Links: To download QR codes with the correct embedded link or data, users must sign in and have a free-trial active, a valid subscription or sufficient token balance. For preview purposes, the QR codes may contain modified data, where certain characters are added, removed, or replaced to prevent unauthorized use.

6. User Responsibilities and Acceptable Use

  • You agree to use our Services in compliance with all applicable laws and regulations.
  • You may not use BrandedQRCode to create QR codes that link to harmful, illegal, misleading, or malicious content.
  • You are prohibited from attempting to disrupt or interfere with the proper functioning of our Services.
  • You may not use BrandedQRCode to create QR codes that depict, link to, or direct users to anything that BrandedQRCode, in its sole discretion, determines to be obscene, mature content, illicit, immoral, promotional content for age-restricted products or services, or otherwise unacceptable. BrandedQRCode reserves the right, in its sole discretion, to suspend or terminate, without notice or refund, any account engaging in such activity.

7. Services Availability

  • We strive to maintain continuous Services availability.
  • Services interruptions may occur for maintenance or updates.
  • We are not liable for any temporary Services unavailability.

8. Third-Party services and links

  • The generated QR codes may link to third-party websites or services. BrandedQRCode is not responsible for the content, policies, or practices of any third-party sites.
  • You acknowledge that accessing third-party content through QR codes is at your own risk.

9. Data Retention and Deletion Policy

  • User data may be retained for a period of 1 month following account termination, after which it can permanently be deleted.
  • Users may request data deletion at any time by contacting support@brandedqrcode.com.

10. Force Majeure
BrandedQRCode shall not be held liable for any failure or delay in performance due to events beyond our reasonable control, including but not limited to natural disasters, internet outages, acts of government, or technical failures.

11. Indemnification
You agree to indemnify, defend, and hold harmless BrandedQRCode, its affiliates, and its employees from any claims, damages, or legal actions arising from your misuse of the Services or violation of these Terms.

12. Limitation of Liability

(a) Disclaimers.

To the maximum extent permitted by applicable law, BrandedQRCode shall not be liable for any indirect, incidental, or consequential damages arising out of or in connection with your use of, or inability to use, the Services, including but not limited to loss of tokens, data, profits, business interruption, or the functionality of dynamic QR codes. BrandedQRCode takes no responsibility for any failures or inaccuracies in data analytics.

(b) Liability Cap.

Notwithstanding anything to the contrary in this Agreement, BrandedQRCode’s aggregate liability for all claims arising under or relating to this Agreement shall not exceed the total fees actually paid by you to BrandedQRCode during the three (3) months immediately preceding the event giving rise to the claim.

13. Privacy Policy
Your use of the Services is also governed by our Privacy Policy. By using the Services, you consent to the collection and use of your data as outlined therein.

14. Referral Program
We may offer a referral program that allows users to earn rewards. Participation in the referral program is subject to our Referral Program Terms, which are incorporated into these Terms by reference. We reserve the right to modify or discontinue the referral program at any time, with or without notice.

15. Intellectual Property
All content, including designs, trademarks, logos, and text on brandedqrcode.com or www.brandedqrcode.com, is the intellectual property of BrandedQRCode and may not be used without prior written permission.

Third-party logos or images used on this website for preview purposes are the property, and where applicable the registered trademarks, of their respective owners.

Any feedback provided may be used or published without any compensation.

16. Changes to Terms
BrandedQRCode reserves the right to update or modify these Terms at any time. Changes will be effective immediately upon being posted on our website. Your continued use of the Services after such changes are posted will constitute your acceptance of the revised Terms. It is your responsibility to review the Terms periodically for updates.

17. Governing Law and Dispute Resolution

(a) Governing Law.

This Agreement shall be governed by the laws of the jurisdiction selected by BrandedQRCode in its sole discretion, which may include the jurisdiction in which BrandedQRCode is registered or has its principal place of business.

(b) Arbitration.

Any dispute, controversy or claim arising out of or relating to this Agreement (a “Dispute”) shall be finally resolved by binding arbitration under procedural rules selected by BrandedQRCode in its sole discretion. BrandedQRCode shall also, in its sole discretion, determine the seat, venue, and language of the arbitration.

(c) Enforcement.

The arbitrator’s award shall be final and binding on the parties and may be entered and enforced as a judgment in any court of competent jurisdiction selected by BrandedQRCode in its sole discretion.

(d) Interim Relief.

Notwithstanding the foregoing, BrandedQRCode may choose any court (including the courts of the jurisdiction in which it is registered or has its principal place of business) of competent jurisdiction to seek provisional or injunctive relief at any time, before, during, or after arbitration, to protect its rights under this Agreement.

18. Export Control and Compliance

  • You agree to comply with all applicable export laws and regulations.
  • You may not use or distribute BrandedQRCode Services in violation of any international export laws.
